PVH Legal

PVH Legal supports PVH (NYSE: PVH) and our brands in ensuring that we maintain the highest moral, ethical, and legal standards. Lawyers across our regions, Go-to-Market teams for each of its iconic brands – Calvin Klein and TOMMY HILFIGER, Centers of Expertise (COEs), and other critical areas work together closely to serve as strategic business partners to support our business in unlocking the Power of PVH and connecting to our consumers around the world. Comprised of lawyers and other legal professionals from around the globe, we currently have COEs dedicated to:

• IP (including Trademarks, Licensing, and Brand Protection)

The Team

With a cross-functional reach and hands-on mentality, the members of PVH Legal based in Europe deliver a full range of best-in-class legal services to the EMEA regional business teams, the Tommy Hilfiger Global brand team, the regional Tommy Hilfiger and Calvin Klein marketing teams, and the global Compliance, Privacy, Employment, and IP COEs. The role of Legal at PVH is to guide, enable and protect our businesses and operations, whilst remaining true to our values, including Integrity and Accountability, and business principles. The members of Legal based in Europe are led by the VP, Head Counsel, PVH Europe, with the following teams/lawyers with following expertise reporting directly to this role:

• Corporate (competition law and other in-region regulatory matters, subsidiary maintenance and related corporate governance, M&A)

• Market (with the Legal team based in Dusseldorf (West) reporting directly into a team member in Amsterdam and a dotted line into the Finance lead in the Market, and the Legal teams based in London (North), Paris (Southwest), and Milan (Southeast) reporting into the Finance lead in the Market and having a dotted line to the team member in Amsterdam)

• Local employment matters, including works council, pension and collective labor agreements

• General contracting and commercial matters

• Leasing

• Legal Operations

Members of the team based in Europe who are part of a COE or Go-To-Market team report for that work to the applicable COE/Go-to-Market head, with support from the VP, Head Counsel, PVH Europe.

The European component of our dynamic team includes a cohesive and collegial collection of over 20 legal professionals based in Amsterdam and nine legal professionals based in one of our four European market hubs.

The Position

The VP, Head Counsel, PVH Europe reports to the CEO, Tommy Hilfiger Global and PVH Europe with a dotted line to the PVH General Counsel, and is a member of the global Legal Leadership Team (LLT) led by the PVH General Counsel. The role is based at our PVH Europe HQ in Amsterdam and is responsible for leading the implementation in EMEA of the global Legal strategy and providing Legal support for the PVH+ Plan in close collaboration with the PVH General Counsel and the other members of the LLT. It is a hybrid role, with in-office attendance expected at least 50% of the time.

The VP, Head Counsel, PVH Europe leads and oversees Legal team members based at the PVH Europe HQ who work on regional matters, as well as the team members supporting the regional market offices in London, Paris, Milan and Dusseldorf (also having reporting into the Market). In addition, the VP, Head Counsel, PVH Europe supports Europe-based COE and Go-to-Market team members, including through team building activities, workload management, budgeting, and interaction and support with in-region business partners. The VP, Head Counsel, PVH Europe is expected to work closely with and advise the European Management Leadership Team (EMT), led by the CEO, PVH Europe, and is part of the Senior Leadership Team of PVH Europe.

Key Responsibilities

• Lead the implementation in Europe of the global Legal strategy and Legal support for the PVH+ Plan (including effecting and updating priorities specifically established for the PVH Europe Legal team)

• Creating open and transparent communications with senior leaders and business partners within region

• Demonstrating and enforcing the standards of professionalism, integrity and independence in the legal function

• Addressing issues analytically and strategically and providing solutions that comply with regulatory requirements and applicable laws

• Working with global and regional partners to identify and address proposed and incoming legislation, including in respect to supply chain, sustainability and climate disclosures and reporting, competition law developments, and representative actions

• Lead the legal team based in Europe in its role to advise, enable, support, and protect PVH Europe and the Tommy Hilfiger and Calvin Klein regional businesses on various legal topics, including:

  • Providing legal advice and engaging in contract negotiations for business partners

  • Working with the executive lead and HR on actions and topics involving the Works Council

  • Continuously improving the contract process flow, including review of contracts and creating templates

  • Creating legal awareness within the business on various legal themes relevant to the business

  • Overseeing the legal teams in the regional hubs in their role to provide legal support the sales organizations within the regional hubs of PVH Europe

• Lead with a team-oriented mindset focused on talent development

• Reporting quarterly on the litigation portfolio in PVH Europe and as material developments occur within each quarter to ensure accurate and timely reporting of material legal risks for SEC and financial reporting purposes and creating appropriate mitigation plans

The Ideal Candidate Has:

• 15+ years experience in working in a fast-paced matrixed organization and rapidly changing environment; experience within a U.S.-based public company is a plus

• Top law firm training combined with in-house counsel experience

• A strong track record in a multijurisdictional managerial role and demonstrated ability to build high- performing teams

• The ability to make and grow relationships with senior leaders and business partners

• Ability to work collaboratively and constructively with colleagues in Legal across regions and practice areas

• An inquisitive, open-minded and solution-oriented personality

• Strong analytical skills, business judgment, work ethic and engagement

• A broad background in legal matters, with specific expertise in Corporate, Commercial Law, and Contracting and practice areas relevant to a wholesale and retail consumer discretionary product business

• Law degree

• Oral and written proficiency in English; Dutch proficiency is highly desirable

• Excellent business judgment and analytical skills

• Experience with technology and its application on legal operations

• The highest degree of ethics and integrity; ability to be independent, enterprise-minded, and challenge others in a constructive manner when necessary
